These Terms of Service (“Terms”) govern access to and use of OGC Client Navigator (the “Platform”), operated by Olivier GIRAUDO Consulting LLC (“OGC,” “we,” “us,” or “our”). By creating an account or using the Platform, you agree to these Terms.
1. Who This Applies To
The Platform is an internal business tool built for OGC consultants and other personnel only, whether engaged as employees or independent contractors. Access to log in, run discovery calls, view the strategy library, or use any other feature of the Platform is limited to those individuals whose accounts have been approved by an administrator (“Team Members”).
Clients and customers of OGC may be invited by their consultant to a separate, restricted client portal account (email and password, with the ability to reset their password). That portal lets a Client view their own business health report, roadmap, and Deep Dive results, message their consultant, and submit feedback or complaints. A Client portal account is a completely separate, much more limited surface than a Team Member account: it does not give access to the internal Team Member tool, other clients’ data, the strategy library, or any administrative features. In addition, a secure, hard-to-guess report link lets a Client view and download a PDF of a report prepared on their behalf without signing in. Use of the client portal and of report links is also governed by these Terms.
2. What the Platform Is — and Isn’t
The Platform helps Team Members run client discovery calls, score business health, generate 30/60/90-day roadmaps, manage the strategy library, and send reports to clients.
Client calls are recorded and their transcripts are processed by AI to help draft discovery answers, assessments, and roadmaps. Every AI output is a draft that a human consultant reviews, edits, and confirms before it is scored or delivered.
OGC is a business consulting firm. OGC is not a law firm, accounting firm, or licensed financial advisory. Nothing generated by the Platform — including scores, roadmaps, strategy content, or reports — constitutes legal, tax, financial, or other licensed professional advice. Clients should consult a qualified attorney, accountant, or financial adviser before acting on any recommendation involving legal, financial, tax, or regulatory matters.
Some features may be shown in the Platform with a price — for example, a self-serve Deep Dive or worksheet purchases. The Platform does not currently process card payments itself; where a charge applies, billing happens outside the Platform via invoicing or the applicable Ordering Documents.
3. Accounts and Access
New Team Member accounts require administrator approval before access is granted. Team Members are responsible for maintaining the confidentiality of their login credentials and for all activity under their account. Notify an administrator immediately if you suspect unauthorized access.
Client portal accounts are created by invitation only — a consultant invites a Client, who then sets their own password via a secure link and can reset it later if needed. Clients are responsible for maintaining the confidentiality of their portal credentials. A Client portal account gives access only to that Client’s own report, roadmap, Deep Dive results, and messages; it does not grant access to the internal Team Member tool, the strategy library, other clients’ data, or any administrative features. If you are a Client and believe someone else has access to your portal account or report link, please contact us immediately using the information in Section 13.
Team Members must read and acknowledge the current version of the internal handbook before using the Platform for live client work, as tracked within the Platform.
4. Acceptable Use
Team Members agree to:
- Use the Platform only for legitimate OGC business purposes.
- Use their OGC-issued business email account for all client communication, not a personal email address.
- Keep client information confidential and access it only as needed to perform their role.
- Not attempt to access client records outside their assigned scope, except where explicitly authorized (e.g., administrators).
- Not share report links, login credentials, or connected email credentials with anyone outside OGC.
- Follow the scope-of-role boundaries described in the internal handbook, including never representing that OGC is providing legal, tax, or financial advice.
5. Client Reports and Email Sending
OGC purchases and provides each Team Member with a full business email account (username@giraudoconsulting.com) and complete login credentials, which Team Members use for all client communication — whether through an email client such as Outlook or webmail, or by connecting it within the Platform to send client reports. When sent through the Platform, the report is sent from the Team Member’s assigned OGC address using credentials they provide. OGC is not responsible for the security of a Team Member’s email account outside of the encrypted credentials stored to enable sending through the Platform.
6. Intellectual Property
The Platform, including its strategy library, discovery question sets, roadmap templates, and underlying software, is the property of Olivier GIRAUDO Consulting and may not be copied, redistributed, or used outside the scope of a Team Member’s role without permission.
7. Disclaimers
The Platform is provided “as is” and “as available,” without warranties of any kind, express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or fully secure.
Any AI-assisted output — including scoring suggestions and answers, summaries, or scores drafted from call transcripts — is provided as a starting point only and must be reviewed and confirmed by a human consultant before being relied upon.
8. Limitation of Liability
To the fullest extent permitted by law, OGC and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or related to use of the Platform, even if advised of the possibility of such damages.
9. Third-Party Services
The Platform relies on third-party services, including Supabase (database, authentication, hosting) and Lovable (application hosting and AI features). Use of the Platform is also subject to the availability and terms of these underlying services, which OGC does not control.
10. Termination
We may suspend or terminate a Team Member’s access to the Platform at any time, with or without cause, including for violation of these Terms or the internal handbook.
11. Governing Law
These Terms are governed by the laws of the State of North Carolina, without regard to its conflict-of-laws principles.
12. Changes to These Terms
We may update these Terms from time to time. Continued use of the Platform after a change takes effect constitutes acceptance of the updated Terms.
